Welcome to Mela.love ("Mela", "we", "us", or "our"). These Terms of Use ("Terms") govern your use of our website at www.mela.love, mobile applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. Description of Service

Mela is a platform that connects local influencers with restaurants and food businesses to create exclusive deal books for their followers. Our Services include:

  • Influencer deal book creation and management
  • Customer deal discovery and purchase
  • Restaurant partnership and deal management
  • Payment processing and transaction management

3. User Accounts

3.1 Account Creation

To use certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account

3.2 Account Types

We offer different account types:

  • Customer Accounts: For users who purchase deals from influencer deal books
  • Influencer Accounts: For content creators who create and manage deal books
  • Business Accounts: For restaurants and food businesses partnering with influencers

4. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload, post, or transmit any content that is harmful, offensive, or violates others' rights
  • Attempt to gain unauthorized access to any part of the Services
  • Use automated systems to access the Services without permission
  • Interfere with or disrupt the Services or servers

5. Content and Intellectual Property

5.1 User Content

You retain ownership of content you create and share through our Services. By posting content, you grant Mela a non-exclusive, royalty-free license to use, display, and distribute your content in connection with our Services.

5.2 Mela Content

The Services and their original content, features, and functionality are owned by Mela and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6. Deal Books and Transactions

6.1 Deal Book Creation

Influencers may create deal books featuring exclusive offers from partnered restaurants. All deals must be legitimate and accurately represent the terms offered by the restaurant.

6.2 Deal Purchases

Customers may purchase deals through influencer deal books. All sales are final unless otherwise specified. Deal redemption is subject to the terms set by the individual restaurant.

6.3 Commission Structure

Influencers earn commissions on deals sold through their deal books. Commission rates and payment terms are outlined in separate influencer agreements.

7. Payment Terms

Payment processing is handled by third-party providers. You agree to pay all applicable fees and charges. All prices are in USD unless otherwise specified. Refunds are subject to our refund policy and individual restaurant terms.

8. Prohibited Uses

You may not use our Services:

  • For any purpose that is unlawful or prohibited by these Terms
  • To solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information

9. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately.

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MELA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL MELA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Mela and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees).

12. Governing Law

These Terms shall be interpreted and governed by the laws of the State of New York, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
